We facilitate introductions between applicants and potential lenders; any financing agreement is solely between you and the applicable lender.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of any third party. You must not:

• Submit false, misleading, or fraudulent information in any application or communication;

Pre-qualification or soft-inquiry results, if displayed, are indicative only and do not constitute a binding commitment to lend. A hard credit inquiry may be required by a lender prior to final approval. Any rates, terms, or funding amounts displayed on the Site are illustrative ranges and not offers of credit.

5. Third-Party Lenders

The Site may connect you with third-party lenders, financial institutions, and other partners (collectively, "Third-Party Providers"). Equipment Capital does not control, endorse, or assume responsibility for the products, services, terms, or actions of any Third-Party Provider.

Any financing agreement, loan document, or other contract entered into between you and a Third-Party Provider is solely between you and that provider. Equipment Capital is not a party to such agreements and has no obligations under them. You should review the terms, fees, and disclosures of any lender independently before accepting any offer.

6. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, and software — is the property of Equipment Capital or its content suppliers and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial use in connection with the Services. IN NO EVENT SHALL EQUIPMENT CAPITAL'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.

9. Indemnification

You agree to indemnify, defend, and hold harmless Equipment Capital and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Services.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.
